Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Lightads LLC ("Lightads", "we", "us", "our"), governing your access to and use of our website, advertising platform, and related services (collectively, the "Services").
By accessing or using the Services, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them and our Privacy Policy.
Our Services
Lightads provides digital advertising technology services including but not limited to: ad campaign management, publisher monetization, traffic analytics, and partnership programs across 120+ geographic regions.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for such modifications.
Accounts & Access
To access certain features, you may be required to create an account. You are responsible for:
- Maintaining the confidentiality of your credentials.
- All activity that occurs under your account.
- Ensuring your account information is accurate and current.
- Promptly notifying us of any unauthorized access to your account.
We reserve the right to terminate accounts that violate these Terms or that have been inactive for extended periods.
Acceptable Use
When using our Services, you agree NOT to:
- Submit fraudulent traffic, bot traffic, or use click-fraud techniques.
- Promote illegal products, services, or content through our ad network.
- Use the Services to distribute malware, spam, or phishing content.
- Reverse engineer, copy, or create derivative works from our platform.
- Violate any applicable local, national, or international laws or regulations.
- Infringe upon the intellectual property rights of any third party.
- Misrepresent yourself or your organization to Lightads or its partners.
Violation of these rules may result in immediate account suspension and legal action.
Payments & Billing
Specific payment terms, rates, and billing schedules are governed by individual partner agreements. General terms applicable to all billing relationships:
- Payments are processed according to the schedule outlined in your partner agreement.
- All fees are subject to applicable taxes, which are your responsibility.
- Disputed charges must be raised within 30 days of the invoice date.
- We reserve the right to adjust pricing with 30 days advance written notice.
Intellectual Property
All content, software, technology, trademarks, and brand assets comprising the Lightads platform are the exclusive property of Lightads LLC and its licensors. You may not use, reproduce, or distribute any of our intellectual property without explicit written permission.
You retain ownership of any ad creatives, content, or data you submit to the platform. By submitting content, you grant Lightads a limited, non-exclusive license to use such content solely to operate and improve the Services.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LIGHTADS EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that campaign results, traffic volumes, or conversion metrics will meet specific targets or expectations.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTADS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION ARISING FROM USE OF THE SERVICES.
Our total aggregate liability for any claim shall not exceed the amounts paid by you to Lightads in the three months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Lightads and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorney fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
Termination
Either party may terminate a service relationship with 30 days written notice, unless otherwise specified in a partner agreement. Lightads may terminate immediately in cases of material breach, fraud, or violation of these Terms.
Upon termination, your right to access the Services ceases. Outstanding balances remain payable according to the applicable partner agreement.
Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall first be subject to good-faith negotiation, followed by binding arbitration in Sheridan, Wyoming, conducted under AAA Commercial Arbitration Rules.
Changes to Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated with at least 14 days notice. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
